Terms of Service

Welcome to gosimplelab.com, the SimpleLab platform, and/or access to the SimpleLab API ("Site"). Please read these SimpleLab Terms of Service ("Terms") carefully because they're a binding agreement between you and SimpleLab, Inc. ("SimpleLab," "our," "us", "we").

SimpleLab operates a platform that enables individuals and businesses to order analytical laboratory testing services and related products. Analytical testing is performed by an independent network of third-party laboratories with which SimpleLab contracts (each, a "Network Lab" and collectively, the "Lab Network"). SimpleLab is the seller of record for testing services and Products you purchase through the Site, but SimpleLab does not itself perform analytical chemistry, microbiology, or other laboratory analyses.

These Terms apply to your use of the Site, including your purchase of our test kits and related services (collectively, "Products") on the Site or directly from SimpleLab. By accessing or using the Site or purchasing Products from the Site or from SimpleLab, you automatically agree to these Terms, you acknowledge our Privacy Policy, and you certify that you are at least the age of majority in your state or province of residence. If you do not agree with these Terms, do not access or use the Site or purchase Products from the Site.

Your Use of the Site and Site Content

SimpleLab owns and operates the Site. The documents and other information and content available on the Site are referred to as "Site Content." The Site Content is protected by copyright laws throughout the world. SimpleLab grants you a limited, revocable license to access and use the Site and Site Content and to reproduce portions of the Site Content solely for your internal business purposes or for your personal use, as applicable.

You must retain all copyright and other proprietary notices on any copies of the Site Content. Using the Site does not give you any ownership rights to the Site or Site Content. SimpleLab and its suppliers reserve all rights not granted in these Terms.

You may not use the Site or Site Content in any way that violates any laws, infringes on anyone's rights, is offensive, or interferes with the Site or any Site feature. Without limiting the foregoing, you may not:

• Scrape, crawl, or otherwise extract data from the Site by automated means
• Reverse engineer, decompile, or disassemble any software made available on the Site
• Use the Site or Site Content to build a competing product or service or to train any machine learning model
• Circumvent or attempt to circumvent any rate limit, security control, or access restriction
• Misrepresent your affiliation with SimpleLab or any Network Lab

The Site and Site Content are for informational purposes only and we do not make any medical, legal, or regulatory recommendations on or via the Site.

The SimpleLab Platform

SimpleLab's Role

SimpleLab is the operator of a platform connecting customers to an independent network of laboratory testing services. When you purchase Products through the Site or directly from SimpleLab, you are contracting with SimpleLab as the seller of record. SimpleLab in turn engages Network Labs to perform the analytical work.

Network Lab Capabilities and Accreditations

Each Network Lab maintains its own scope of analyses, methods, and accreditations. SimpleLab routes samples to Network Labs we believe are appropriate for the requested test, but SimpleLab does not itself certify Network Lab methods, instruments, or laboratory licensure.

Test Results Are Issued by Network Labs

Analytical results are produced by Network Labs in accordance with the methods and quality systems of those Network Labs. SimpleLab's reports may format, contextualize, or summarize underlying analytical data, but the underlying data are the responsibility of the issuing Network Lab.

Turnaround Times

Posted turnaround times are estimates measured from acceptance receipt of the sample at the Network Lab. Actual turnaround depends on Network Lab capacity, sample condition on receipt, and other factors outside SimpleLab's reasonable control.

Sample Collection, Shipping, and Chain of Custody

Customer Responsibilities

You agree to follow the sample collection instructions provided with each kit, to label and package samples as instructed, and to ship samples promptly so they arrive at the receiving Network Lab within applicable hold times.

Shipping

SimpleLab will arrange shipping of kits to you and provide return shipping arrangements for samples back to the receiving Network Lab. SimpleLab will replace, at no additional charge, any kit lost or destroyed in transit to you.

Risk of Loss for Return Shipment

Where you used SimpleLab-provided return shipping arrangements and followed the kit's timing recommendations, SimpleLab will, at its option, replace the kit or refund the analysis price for samples lost or destroyed in transit to the Network Lab.

Compromised Samples

If a sample arrives at the Network Lab in a condition that renders it unfit for analysis, SimpleLab will notify you and offer:

1. A replacement kit at no additional cost
2. Re-analysis if a sufficient backup volume is available
3. A refund of the analysis price for the affected analyses

Test Results and Reports

Reports

SimpleLab will make analytical results available through your account on the Site once the Network Lab has released them to SimpleLab. Reports may include SimpleLab-generated context, comparison to regulatory benchmarks, and other non-diagnostic information.

Result Data Retention

SimpleLab will retain analytical results in your account for as long as you maintain an account with us, plus any additional period SimpleLab determines is necessary. You are responsible for downloading and retaining your own copies of results for any longer period required by your records-retention obligations.

Corrections

If a Network Lab issues a corrected or amended result, SimpleLab will update your report and notify you by email of corrections that SimpleLab determines to be material.

Non-Clinical, Not-for-Diagnostic Use

Products and Services are intended for non-clinical, informational testing only. Products and Services are NOT:

• Medical devices
• Tests cleared, approved, or authorized by the U.S. Food and Drug Administration for clinical diagnostic use
• Substitutes for advice, diagnosis, or treatment from a licensed medical professional
• Intended to diagnose, treat, cure, mitigate, or prevent any disease

Results should not be used as the sole basis for any medical decision. If you have a health, environmental, regulatory, or other concern that may require professional judgment, consult an appropriately licensed professional.

No Regulatory Submission

Unless SimpleLab expressly states otherwise on the Site for a particular Product, a Product alone does not constitute a regulatory submission. You are solely responsible for confirming that a Product satisfies the analytical methods, accreditations, reporting limits, and hold times required by your regulator.

Purchases

You should use our Products solely for your personal or business purposes. You may not use our Products for any illegal or unauthorized purpose nor may you violate any applicable laws in your use of our Products.

We reserve the right to limit the quantities of the Products that we offer, and to refuse any order you place with us for any reason at any time. We may limit or cancel quantities purchased per person or per order.

All descriptions of Products and Product pricing are subject to change at any time without notice. Our Products are subject to return or exchange strictly in accordance with our Return Policy posted on the Site.

You agree to provide current, complete and accurate purchase and account information for all purchases of Products. When you provide credit card information, you authorize us to charge that credit card for all Product purchases.

Account Registration and Security

To use certain features of the Site, you may be required to create an account. You agree to:

• Provide accurate and complete information when creating your account
• Keep your login credentials confidential and not share them with any third party
• Be responsible for all activity that occurs under your account
• Notify SimpleLab promptly if you suspect unauthorized access

We may refuse, suspend, or terminate accounts in our reasonable discretion, including for suspected fraud, abuse, chargebacks, or violations of these Terms.

Acceptable Use

You agree not to:

• Use the Site or Products to violate applicable law or any third party's rights
• Submit samples that contain materials prohibited from shipment under applicable law or carrier rules
• Misrepresent the source, identity, or chain-of-custody of any sample
• Use the Site or Products in any way that could damage, disable, or impair SimpleLab's systems
• Attempt to obtain test results or accounts not assigned to you
• Use any results to make false or misleading claims about a third party
• Introduce any virus, malware, or other malicious code
• Submit samples subject to HIPAA, CLIA, or other clinical-diagnostic regulatory frameworks

Violation of this section is a material breach of these Terms.

Teams, Resellers, and APIs

Teams Account

Teams accounts are intended for use in connection with a business, professional, governmental, non-profit, or other organizational purpose. The party establishing a Teams account is responsible for all activity under it, including all activity by additional Team Users.

Authorized Reseller Program

SimpleLab grants authorized resellers a non-exclusive, non-transferable license to market and resell SimpleLab Products in the United States to End Customers. Resellers must require each End Customer to agree to terms no less protective of SimpleLab than these Terms.

Order API

SimpleLab grants Teams Entities a non-exclusive, non-transferable license to access and use the Order API to place, manage, and retrieve information about their own orders.

Water Quality Search (WQS) API

The WQS API enables Teams Entities to query water-quality data aggregated and enriched by SimpleLab. The Team Entity may use responses solely for internal business purposes or to display individual results to End Customers with appropriate attribution.

Trademarks

All trademarks, logos, and service marks ("Marks") on the Site are our property or that of third parties. You are not permitted to use any Mark without the Mark's owner's prior written permission.
